SCLO advised a Magic Circle law firm regarding the merger of two telecom companies, where the scope of work included:

• Regulatory analysis of the merger of two telecom companies as a matter of Sudanese law, including analysis of the merger feasibility with a specific focus on the regulatory licences held by the merging entities and anti-trust analysis.
• Legal and Regulatory Due Diligence on the target company (from the perspective of Sudanese law), including providing input into the legal due diligence report prepared by the Magic Circle law firm.
• Advising on the Sudanese law issues in connection with the drafting and negotiating the transaction documents, including the merger agreement, disclosure letters and shareholders agreement.
